NKK and Hitachi Zosen Sign Protocol to Integrate Shipbuilding Operations


TOKYO - NKK Corporation (president: Yoichi Shimogaichi) and Hitachi Zosen Corporation (president: Takenao Shigefuji) today signed a final agreement for the integration of their respective shipbuilding operations by October 1, 2002.

The plan is the result of a basic agreement reached on February 23 this year and follows months of detailed studies into the mechanisms and timing of the integration. The two partners are continuing to prepare for the startup of the integrated company as follows:

Capital and ownership: Approx. ¥55 billion, shared 50-50 by the two partners
Official integration: October 1, 2002

(currently Executive Managing Officer and Deputy General Manager of Shipbuilding & Defense Headquarters, Hitachi Zosen)
President and Representative Director: Takehiko Kamijo,
(currently Senior Vice President, Shipbuilding and Offshore Structure Division, NKK)
Projected annual sales: Approx. ¥150 billion
Employees: Approx. 3,200 (including group companies)
Operations
Works to be integrated:
NKK: Shipbuilding divisions of Tsu Works and Tsurumi Works
Hitachi Zosen: Shipbuilding divisions of Ariake Works, Kanagawa Works, and Innoshima Works, shipbuilding and defense equipment division of Maizuru Works
New operational structure:
Operations: Operations will be organized into the following two divisions to strengthen product strategies:
- Defense Equipment Division
- Ship and Offshore Structure Division
Head office: Will oversee sales, procurement, basic design of ships and offshore structures, defense technology development, and general administration
Production: Ariake Works, Tsu Works, Maizuru Works, Keihin Works (unofficial name of consolidated Tsurumi and Kanagawa works, scheduled around October 2003) and Innoshima Works
Research: Consolidated at the Tsu Works, with Ariake focusing on production automation research.
