The JFE Group aims to continue to be a company that provides products and services for a prosperous global future for a long time to come. To this end, we are earnestly committed to ensuring thorough compliance, which is the foundation of our trusting relationship with society.
We established the “JFE Group Basic Policy on Compliance” to clarify our company’s commitment to thorough compliance and ensure consistent implementation of this commitment.
Moving forward, the JFE group will continue to work together to uphold compliance standards rigorously and consistently. This will help us maintain the trust of our shareholders, customers, suppliers, and local communities while achieving sustainable growth.
JFE Group Basic Policy on Compliance
(1) Basic Policy
In expanding our businesses in Japan and abroad, it is important that JFE maintains relationships of trust with all stakeholders, including its customers, shareholders and local communities. Trust can only be built upon a strong foundation of ensuring thorough compliance.
Compliance refers to “complying with all laws and regulations related to JFE Group’s business activities, supervisory policies and guidelines established by competent authorities, internal rules, manuals, etc. and also practicing honest, fair and just activities to meet the needs of society.”
In preparation for practicing the Corporate Vision, Corporate Values, and Standards of Conduct, the JFE Group sets this policy in order to further clarify and securely implement its policy on thorough compliance.
(2) Initiatives for thorough Compliance
Viewing compliance as an important management issue, the JFE Group faithfully works on thorough compliance through autonomous and responsible actions of all the executives and employees.
All the executives and employees also promote the improvement process by immediately reporting and sharing events to be corrected upon recognizing them.
[1] Establishment and Operation of Compliance System
Under the JFE Group Sustainability Council chaired by the President of JFE Holdings, the JFE Group Compliance Committee chaired by the CCO (Chief Compliance Officer) is set up to deliberate the JFE Group’s basic policies and issues on compliance and then supervise their implementation.
The issues deliberated in the JFE Group Compliance Committee are reported regularly to the Board of Directors to receive instructions and supervision.
In addition, the Operating Company Compliance Committee chaired by the CCO of each Operating Company is also set up to establish a system to promote and supervise business activities in line with the compliance of the company and its group companies.
[2] Compliance Education
In order for all members of the organization to deepen the knowledge and awareness of compliance and put them into practice every day, education is provided regularly through creation and collective review of a compliance guidebook, training programs, etc.
[3] Whistleblowing System
A Corporate Ethics Hotline is established inside and outside the company to accept consultations including anonymous reports.
Confidentiality of whistleblowers and prohibition of unfavorable treatment for reasons such as their reporting are ensured, and feedback of the investigation results is provided if requested by the whistleblower.
Whenever a report is made, the details of the report are communicated to full-time Audit & Supervisory Board Members (including full-time Audit & Supervisory Committee Members and full-time Audit & Supervisory Board Members), and the operational status is reported and supervised in the Board of Directors of JFE Holdings.
[4] Confirmation and Improvement through the Employee Survey
In order to understand the status of instilling of the Corporate Vision, Corporate Values, and Standards of Conduct of the JFE Group, as well as potential risks, we conduct surveys of the employees regularly and seek to improve the issues that have been identified through the surveys.
